A survival period is a bet about when a defect becomes visible. Pick the dates off discovery cycles, not off a number. General representations run past the first fiscal year end you close on your own books. Tax, employment and benefits representations run to the assessment period plus a tail. Fundamentals run to the outer limit the governing law allows.
What does a survival period in the purchase agreement actually do?
A survival period is the deadline in the purchase agreement for asserting an indemnification claim against the seller. It is a contract deadline, not a court rule. When the date passes, that representation stops supporting a claim. The problem can be real, expensive and known to the seller, and the claim is still gone.
Delaware courts treat the clause the way it reads. In GRT, Inc. v. Marathon GTF Technology, Ltd., a joint venture agreement gave design representations a one-year survival period, and the contract ended the representations and their remedies when it ran. The Court of Chancery dismissed claims brought after that date.
Case: GRT, Inc. v. Marathon GTF Tech., Ltd., Del. Ch. (July 11, 2011).
When do the problems you just bought actually surface?
Defects in a small business surface on a calendar, not at random. Each cycle below is a date on which somebody outside the company examines the period before you owned it. Write your survival schedule so that the deadline for each category of representation falls after the cycle that would reveal a breach of it, not before.
- The first full-year federal return. Prior-period accruals, inventory and owner add-backs meet your own books.
- The first state sales and use tax notice. A new owner charging tax the seller did not charge invites a look backward.
- The first workers’ compensation premium audit. The carrier reconciles payroll and classifications after the policy period, and pre-closing claims price the renewal.
- The first customer renewal season. Contracts described as sticky either renew or they do not, and consent problems surface here.
- The first unemployment claim or wage complaint. The agency pulls the employment file, timekeeping records and classification history from before closing.
Many of those cycles land twelve to twenty-four months after closing. A twelve-month general survival expires in the middle of them.
How long should each category of representation survive?
A workable schedule has three tiers, and each tier is pinned to a cycle rather than to a number. General representations run past your first clean year end. Tax, employment and benefits representations run to the end of the relevant assessment period plus a stated tail. Fundamental representations run to the outer limit the governing law permits.
Tiering is not the default at this size. Drafts usually apply one period to everything, so you have to ask for the tiers and justify each by its cycle.
| Tier | What it covers | Cycle that reveals a breach | Survival to set |
|---|---|---|---|
| General | Financials, contracts, inventory, assets, customers, compliance | First full fiscal year closed on your books, plus the first renewal season | A stated number of days after that year end, plus a fixed outside date |
| Tax, employment, benefits | Payroll and sales tax, worker classification, wage and hour, plans | Assessment windows, which run from filing dates, not closing | The assessment period plus a fixed tail |
| Fundamental | Title, authority to sell, capitalization, liens | Any time a lender or transferee examines the chain of title | The longest period the governing law lets you specify |
Fraud is usually carved out of the survival limit, but the carve-out is negotiated and the definition matters. Fraud takes a knowingly false statement of material fact that you justifiably relied on, and is harder to prove than a breach. Delaware will not enforce a limitation immunizing a seller from its own deliberate lies, but a non-reliance clause can still confine you to the representations the agreement contains.
Case: Abry Partners V, L.P. v. F & W Acquisition LLC, Del. Ch. (2006).
What are the federal tax anchors for the tax tail?
Federal assessment periods, not negotiation, should set the tax survival date. The IRS generally has three years after a return is filed to assess. An omission of more than 25 percent of gross income extends that to six years. A false or fraudulent return filed to evade tax, or no return at all, carries no limit.
Law: 26 U.S.C. 6501(a), 6501(e)(1), 6501(c)(1), 6501(c)(3).
Two timing rules are easy to miss. A return filed before its prescribed due date counts as filed on the due date, so an early transmission does not start the clock early. Social security and withholding returns for periods ending in a calendar year count as filed on April 15 of the next year if filed before then. Later filings run from their actual date.
Regulation: 26 CFR 301.6501(b)-1.
Apply it. The seller’s last pre-closing payroll quarters, filed on time, start their three-year run the following April 15. A representation that survives twenty-four months from closing can expire while the IRS still has more than a year to assess. Ask for sixty or ninety days past the assessment period.
How long can a state assess sales and use tax after closing?
State sales and use tax assessment periods usually run longer than a first-time buyer expects, and they run far longer where the business never filed. The three states below show the spread. Look up the statute for every state with customers, inventory or employees, and set the survival date against the longest.
| State | Where returns were filed | Where no return was filed or the return was false |
|---|---|---|
| California | Three years after the return is filed, or after the month following the quarterly period, whichever is later | Eight years after that month end for failure to make a return; no limit for fraud |
| New York | Three years from the later of the due date or the filing date | No limit where no return was filed or a willfully false return was filed |
| Texas | Four years from the date the tax became due and payable | No limit where no report was filed, a false report was filed to evade tax, or the report understates tax by 25 percent |
Law: Cal. Rev. & Tax. Code 6487; N.Y. Tax Law 1147(b); Tex. Tax Code 111.201 and 111.205.
Filing starts a clock. Not filing starts nothing. In an asset purchase, several states can pursue the buyer for that tax unless a clearance procedure is followed. I read the sales and use tax registrations and returns before the financial statements, because an unfiled return changes which survival date the deal needs.
How long do wage and employment claims stay alive after closing?
Federal wage and hour claims under the Fair Labor Standards Act carry a two-year limitations period, extended to three years for a willful violation. State wage claim periods are separate, vary widely, and several run longer than the federal period. The employment representation should survive to the longer of the two for every state where the business has employees.
Law: 29 U.S.C. 255(a).
Apply it to an overtime misclassification. A claim arrives eight months after closing from a dispatcher paid a salary for years. The period reaches back from the filing date into pay periods before closing. At eighteen months of survival you can still give notice. At twelve, the exposure is yours.
How does a claim notice preserve a claim past the survival date?
A timely written claim notice is what converts a survival period from a wall into a door. The purchase agreement must say expressly that a claim described in a notice delivered before the survival date survives until the claim is finally resolved. Without that sentence, a claim asserted on day 540 of a 545-day period can die on day 546.
Nothing extends the period on its own. A pending audit does not toll it, and late discovery does not either, unless the contract says so. Specify what the notice must contain, so the seller cannot call it defective later.
- The section number of the representation or covenant you say was breached.
- The facts then known, in reasonable detail, with a right to supplement.
- A good faith estimate of the loss, labeled an estimate and non-binding.
- Delivery exactly as the notice provision requires, with its deemed-receipt rule.
- A copy to the escrow agent if the escrow agreement requires parallel notice.
Resist a clause that requires a final amount or voids the claim for any deficiency in detail. You are often reporting an inquiry whose number is unknown.
Why must the escrow release date match the survival dates?
Escrow release dates and survival dates fail when different people draft them in different documents. A survival period that expires before the escrow releases protects nothing. An escrow that releases before the survival date expires leaves a live claim with nothing behind it except a seller who has already spent the proceeds. Match them date for date.
I set the escrow release date first, then write the survival dates backward from it. Ask for a staged release: a general release when the general period expires, less amounts under a pending notice, and a retained amount held until the tax and employment tail runs. At this size an escrow is often small, sometimes refused, and never a default.
An escrow that releases before the claim deadline is a refund to the seller in the costume of buyer protection.
If part of the price is a seller note, a right of offset can back up the tail after the escrow is gone. Whether your lender accepts offset language, and how the note must be subordinated or put on standby, depends on its credit policy and the SBA procedure in force.
Will a court enforce a survival clause that shortens the statute of limitations?
A survival clause works as a contractually shortened limitations period, and states differ on whether they enforce one. Delaware’s default for a contract claim is three years. Since 2014, parties to a written contract involving at least $100,000 may specify a longer period, up to twenty years from accrual. Governing law is therefore part of this negotiation, not boilerplate.
Law: 10 Del. C. 8106(a) and 8106(c).
That longer period has to be stated in the contract. New York differs. An agreement shortening the limitations period to a reasonable one is enforceable, but an agreement made before the claim accrues cannot extend it.
Law: N.Y. C.P.L.R. 201; John J. Kassner & Co. v. City of New York, N.Y. (1979).
Consequence for your draft. Delaware law plus a clause stating the longer period expressly gives fundamentals the stronger position. Elsewhere, “survives indefinitely” may buy only that state’s contract period. And a long date against an individual seller is worth what the seller can pay, which is why the escrow carries the tail.
Where does a long survival period cut against you?
A long survival across every representation is paid for somewhere in the deal. Sellers price it crudely at this size: a higher price, a larger seller note, a bigger basket, or a refusal that costs you time with a lender whose approval you still need. Demanding five years on everything often trades away the tax tail worth having.
Rank before you ask. Fundamentals and the tax and employment tail are where late discovery is likely and large. General representations past the second year end are rarely decisive.
Two more realities for an SBA-financed purchase. Representation and warranty insurance is uncommon at this size and is not the answer to a short survival period. And your lender must be satisfied with the settlement statement, so any escrow or holdback has to appear on it and sit within the SBA requirements the lender applies. Those requirements move. Stated as of October 2026, SOP 50 10 8.1 applies to loans given an SBA loan number on or after October 1, 2026, replacing SOP 50 10 8. Confirm which version governs your file, and treat no holdback as approved until the lender says so.
Agency guidance: SBA SOP 50 10 8.1, effective October 1, 2026, replacing SOP 50 10 8, effective June 1, 2025. Stated as of October 2026; confirm the current version.
What should you do before you send the next markup?
The next markup of the purchase agreement should contain a tiered survival schedule tied to the escrow release, not a single number applied to every representation. Four steps get you there, and each can be done with the documents you already have in diligence.
- List every state with employees, inventory, customers or registrations, and look up its assessment period and unfiled-return rule.
- Pull the filing dates of the last three years of income and payroll returns, mark three years after each, and apply the April 15 rule. The latest is your floor.
- Take the fiscal year end you will first close on your own books, add a reporting cycle, and give it a fixed outside date.
- Choose the governing law with the fundamental tier in mind, and state that period in words.
Then read the notice provision out loud, and ask whether you could satisfy it on a Friday afternoon with partial facts. That is the condition you will be in when you need it.
